Software Licence and Subscription Terms
Last updated: 7 October 2026
These terms apply when you create an OpenTech account, start a free trial, or buy a subscription to any OpenTech Designs software product listed in the Schedule (“the Software”). “We”, “us” and “OpenTech Designs” mean Hardik Trivedi trading as OpenTech Designs (ABN 90 963 292 012), Sydney, Australia. “You” means the person or business that holds the account.
1. Your account
You need an OpenTech account to use the Software. Keep your password private; you are responsible for what happens under your account. One account is used for all of our products — if you buy several products or several seats, they all sit on the same account.
2. Free trial
Each product comes with a free trial of the length shown in the Schedule. The trial starts when you click Start free trial in your portal, runs on one PC at a time, and needs no payment details. One trial per product per account. The trial is your chance to evaluate the Software properly on your own work before you buy — see section 5.
3. Subscription, seats and price
- Subscriptions are annual and priced per seat, in US dollars, as shown in the Schedule and on the store page at the time of purchase. Applicable taxes are added at checkout.
- A seat lets you run the Software on one PC at a time. You may register one spare PC in total beyond your seat count (for example, 1 seat = 2 registered PCs, 1 active; 5 seats = 6 registered, 5 active). You switch the active PC yourself in the app or your portal.
- You can add or remove seats at any time in Manage billing. Changes are prorated by our payment provider, Stripe.
- Introductory price. Where the Schedule shows an introductory price, it applies to the first year of your first subscription to that product, including any seats you add during that first year. Your subscription then renews at the list price shown in the Schedule. Cancelling and subscribing again does not start a new introductory year.
- Subscriptions renew automatically each year at the then-current list price. We email you before each renewal, and before a price change takes effect.
4. Cancelling
Cancel any time from Manage billing in your portal. Cancelling stops the next renewal; you keep full access until the end of the period you have already paid for. We do not charge cancellation fees.
5. Refunds
Because the free trial lets you evaluate the Software before paying, purchases and renewals are final and we do not offer refunds for change of mind, non-use, or forgetting to cancel before a renewal. If a payment is reversed by your bank or card issuer, the subscription and access end immediately.
Nothing in this section removes rights you have under the Australian Consumer Law or any other law that cannot be excluded. If the Software has a major fault that we cannot fix, you are entitled to the remedies that law provides, including a refund where applicable.
6. What you may do with the Software
We grant you a non-exclusive, non-transferable licence to install and use the Software on the number of PCs allowed by your seats, for your own business or personal use, while your trial or subscription is active. You may not copy the Software except for backup, sell, rent, sub-license or share your account, reverse engineer or tamper with the licensing mechanism, or use the Software to build a competing product.
7. What happens when a trial or subscription ends
The Software keeps opening and displaying your existing files. Creating new output (such as capturing and exporting in ClearMarkup) is disabled until you subscribe or renew. We never lock, alter or delete your files.
8. Updates, support and availability
Updates released during your subscription are included. The Software checks in with our servers to confirm your subscription, and continues to work offline for up to 30 days between check-ins. We aim to keep the licensing service available but do not guarantee uninterrupted access. Support is by email at contact@hardik.net.
9. Your data and privacy
We store your account details, purchase and licence records, and the names of the PCs you register. Payments are processed by Stripe; we do not see or store your card number. We use your email to send account, licensing and billing messages. See our Privacy Policy at /privacy for the full picture.
10. Intellectual property
The Software and everything in it belong to OpenTech Designs. These terms give you a licence to use it, not ownership. Files you create with the Software are yours.
11. Liability
To the extent the law allows, the Software is provided “as is”, and our total liability to you for anything arising from the Software or these terms is limited to the amount you paid us in the 12 months before the claim. We are not liable for indirect or consequential loss, including lost data — please keep backups. This section does not limit any liability that cannot be limited by law, including under the Australian Consumer Law.
12. Changes to these terms
We may update these terms; the “last updated” date changes when we do. Material changes are emailed to account holders. Continuing to use the Software after a change means you accept it.
13. Governing law
These terms are governed by the laws of New South Wales, Australia. Disputes go to the courts of New South Wales.
